GENERAL CONDITIONS OF SALE AND SUPPLY

CRUZ DOS CALIÇOS ALIMENTAÇÃO E BEBIDAS LDA. – CAMPOS SANTOS® AND CONSERVAS SANTOS®

APPLICATION

These General Sales Conditions apply to all sales and supply of products carried out by CRUZ DOS CALIÇOS ALIMENTAÇÃO E BEBIDAS LDA..
The Buyer, when placing the respective order, accepts these General Conditions of Sale, undertaking to comply with them.
ORDERS
All orders or order proposals must be previously confirmed in writing. All sales are made under the terms of the “General Conditions” stipulated here and will prevail over any “General Conditions” of purchase by the buyer.

PRICES AND PAYMENT TERMS

The prices of the products will be those appearing in the Price List in force on the date of the order, unless others have been accepted and confirmed in writing.
The price to be charged for transport costs in the national market will be indicated in the price list. For the export market, the transport cost must be paid in full by the buyer.
Unless otherwise indicated in the proposal and/or acceptance, payment for the products purchased must be made in cash or up to 8 days after the invoice is issued, a rule applied to the domestic market. For international orders, orders must be settled in cash, unless other conditions have been accepted and confirmed in writing.
A CRUZ DOS CALIÇOS ALIMENTAÇÃO E BEBIDAS LDA. reserves the right, at any time, to modify or alter its sales prices and payment conditions.
Payment of invoices must be made within the period established between CRUZ DOS CALIÇOS ALIMENTAÇÃO E BEBIDAS LDA. and the buyer, by check or bank transfer to the bank account to be indicated by CRUZ DOS CALIÇOS ALIMENTAÇÃO E BEBIDAS LDA., free of any withholdings, deductions, expenses or fees.
Invoices not settled on the respective due date are subject to default interest calculated at the legal rate in force. Additionally, in case of delay in the payment of an invoice, CRUZ DOS CALIÇOS ALIMENTAÇÃO E BEBIDAS LDA. may unilaterally suspend the supply and delivery of all pending orders and immediately claim those that have already been delivered.

PROPERTY RESERVATION

All products sold by CRUZ DOS CALIÇOS ALIMENTAÇÃO E BEBIDAS LDA. with retention of title, under the terms and for the purposes of the provisions of number 1 of article 409 of the Civil Code, thus remaining the property of CRUZ DOS CALIÇOS ALIMENTAÇÃO E BEBIDAS LDA. until full payment of the price.
The trademarks CONSERVAS SANTOS® AND CAMPOS SANTOS® are registered by CRUZ DOS CALIÇOS ALIMENTAÇÃO E BEBIDAS LDA. and may not at any time be modified or altered by the purchaser.

TRANSPORT AND DELIVERY

A CRUZ DOS CALIÇOS ALIMENTAÇÃO E BEBIDAS LDA. guarantees the delivery of the products in national territory, unless expressly agreed otherwise, in writing, between the parties.
The delivery time and supply conditions will be agreed in advance between the parties before confirming and accepting orders.
The agreed delivery times will change in the following cases:
- The Buyer fails to deliver the necessary documentation for the delivery of products in a timely manner, or requests changes to the order;
- Events or unforeseen and/or out of control events occur that prevent or delay the scheduled supplies;
- Whenever the products are not transported by the carrier contracted by CRUZ DOS CALIÇOS ALIMENTAÇÃO E BEBIDAS LDA, the transport will be carried out at the Buyer's risk and expense.
The transport and delivery of products outside the national territory are subject to the provisions of INCOTERMS 2020.

CLAIMS

The buyer has the following claim deadlines:
a) 72 hours — claim based on the difference between the number of units ordered and those delivered;
b) 7 days — claim for non-compliance with the order or with specifications made by the Purchaser in its original order.
The counting of deadlines starts from the date of delivery of the material. In the event of a complaint within the aforementioned deadlines, CRUZ DOS CALIÇOS ALIMENTAÇÃO E BEBIDAS LDA will take the necessary measures to eliminate the defects complained of.
Once the aforementioned deadlines have expired without any complaint having been registered, it is considered that there has been unreserved acceptance by the Purchaser, extinguishing any right of complaint.
Any claims regarding damage to the goods must be included in the carrier's waybill, under penalty of not being answered by CRUZ DOS CALIÇOS ALIMENTAÇÃO E BEBIDAS LDA.

GUARANTEES TO BUYERS AND LIABILITIES

CRUZ DOS CALIÇOS ALIMENTAÇÃO E BEBIDAS LDA guarantees that the products supplied will comply with the agreement.
Any defects caused by external causes, such as, for example, the intervention of third parties and/or packaging and conservation in inadequate conditions, are not the responsibility of CRUZ DOS CALIÇOS ALIMENTAÇÃO E BEBIDAS LDA.

INSTRUCTIONS FOR USE OF THE PRODUCTS

The buyer must imperatively observe the indications contained in the respective technical sheet and on the packaging label. Deterioration caused by non-compliant use will not be the responsibility of CRUZ DOS CALIÇOS ALIMENTAÇÃO E BEBIDAS LDA.
COMPETENT LEGISLATION AND JURISDICTION
These General Conditions are governed by the applicable Portuguese legislation.
The parties submit any disagreement that may arise from the interpretation and/or execution of these General Conditions and jurisdiction of the courts of Albufeira, with express waiver of any other that may be competent under the terms of the applicable legislation.

In order to provide our customers with the best products, it is essential that there is a constant concern with the choice and subsequent evaluation of our suppliers. Quality is imperative in the supplier selection process.

Thus, it becomes necessary to use tools that not only evaluate the purchase of products, but also define the company's growth strategy.

When the product purchase process takes place, it is important to select the best supplier, in order to guarantee the quality of the final product.

We are proud to establish a relationship of trust with all our suppliers, we can say that, at the moment, we have strong and consolidated relationships, with the notion that suppliers become an integral part of our work team.

This team work allows us to exchange ideas and information in order to encourage the constant innovation of products for our company, making us a competitive company and working in a free competition market.

Suppliers evaluation

Supplier evaluation is a tool used to assess compliance with the requirements demanded of each supplier/supply, with the aim of enhancing the positive points and minimizing the negative points.

Annually, Cruz dos Caliços Alimentos e Bebidas Lda. evaluates suppliers for the previous year.

After the evaluation, and according to the result achieved, a classification is assigned and, in case of an evaluation that is less than sufficient, measures must be taken in order to avoid future non-compliance.

Alternative Dispute Resolution

In accordance with Article 18 of Law No. 144/2015, dated September 8, it is informed that, in case of a dispute or dissatisfaction with the service or product provided, the consumer may resort to one of the Alternative Dispute Resolution Entities for Consumer Disputes listed at www.arbitragemdeconsumo.org.
